Copperbelt Energy Plc (“CEC”): a Advisor to CEC, Zambian publicly traded power transmission, generation and distribution company listed on the Lusaka Stock Exchange (LuSE) and a major developer of energy infrastructure in Africa, in relation to the first ever USD380 million takeover offer of all the ordinary shares of CEC by the CDC Group Plc, which is UK’s development finance institution wholly owned by the UK Government Department for International Development (“DFID”).
Izwe Loans Zambia Limited: Advisor to Izwe, anon-banking financial institution (NBFI) that provides financing services, in relation to the proposed listing of Izwe Loans Zambia Limited on the Lusaka Securities Exchange (LuSE).
China Non-Ferrous Metals Corporation: Advisor on the restructuring and reorganization of its Zambian asset portfolio (i.e. Luanshya Copper Mines, Chambishi Copper Smelting Limited, Sino Metals Leach Plant Limited, Chambishi Copper Smelter Limited and NFC Africa Mining Plc) into an offshore holding company and the subsequent listing of the offshore holding company on the Hong Kong Stock Exchange (USD247 million IPO).
ZCCM Investments Holdings Plc: Advisor in relation to a USD 409 million recapitalisation by way of a claw back rights issue and debt to equity conversion. The transaction resulted in the elimination of ZCCM’s historic liabilities to the Zambian government and the issuance of ZCCM’s first-ever dividends.
First Quantum Minerals (UK) Ltd: Advisor in respect of its USD1,850 million of Senior Notes due 2024 and Senior Notes due 2026 (the “Notes”) to be guaranteed by certain of the Company’s subsidiaries. We advised the company in respect of the Zambian law aspects of the transaction noting that three of its key subsidiaries in Zambia guaranteed the Notes.
Copperbelt Energy Plc (“CEC”): Acted as sole legal advisor to CEC, one of the biggest indigenous owned companies engaged in the business of power supply and transmission and is listed on the Lusaka Stock Exchange, in the demerger of its Pan African Mauritian subsidiary, CEC Africa Investments which holds assets in Nigeria and Sierra Leone, through the distribution by CEC Plc, of all its CEC Africa shares to the existing CEC Plc shareholders by way of a dividend in specie.
Illovo Sugar Limited: Advisor to Illovo, a company listed on the Johannesburg Stock Exchange and a majority shareholder of Zambia Sugar holding, in relation to the options and procedure of de-listing Zambia Sugar Plc from the Lusaka Securities Exchange and the options available to implement a minority buy-out considering the de-listing.
Lusaka Stock Exchange (LuSE): Advisor on the drafting and promulgation of the current listing rules and standards and the harmonization process of the listing rules under the auspices of SADC.
